Terms of Use

Effective Date: September 14, 2026
Last Updated: September 14, 2026

These Terms of Use (“Terms”) govern your access to and use of the Pinnacle Learning Solutions website, online storefront, learning platform, courses, training programs, materials, and related services.

In these Terms, “Pinnacle Learning Solutions,” “PLS,” “we,” “us,” and “our” refer to Pinnacle Learning Solutions. “You” and “your” refer to the individual or organization accessing or using our services.

By accessing our website, creating an account, purchasing or enrolling in a course, registering for training, or otherwise using our services, you agree to these Terms and our Privacy Policy. If you do not agree, you should not access or use our services.

1. Eligibility and Authority

You must be at least 18 years old or the age of legal majority in your jurisdiction to make a purchase or enter into an agreement with PLS.

If you access or purchase our services on behalf of an employer, organization, or another person, you represent that you have authority to act on that party’s behalf and bind that party to these Terms.

2. Our Services

PLS provides educational and professional-training products and services, which may include:

  • Self-paced online courses
  • Instructor-led online training
  • In-person training
  • Course bundles
  • Assessments and knowledge checks
  • Certificates or records of completion
  • Educational materials and related resources

Course availability, content, requirements, pricing, instructors, schedules, and delivery methods may vary. Specific details displayed on a course page, registration page, proposal, invoice, or checkout screen are incorporated into these Terms.

3. Accounts and Registration

You may be required to create an account to purchase, access, or complete a course.

You agree to:

  • Provide accurate, complete, and current information
  • Maintain the confidentiality of your login credentials
  • Use your account only for its intended purpose
  • Notify PLS promptly if you suspect unauthorized account access
  • Accept responsibility for activity conducted through your account

Unless expressly authorized by PLS, accounts, course access, certificates, and login credentials are assigned to an individual user and may not be shared, transferred, resold, or made available to another person.

PLS may suspend or terminate an account if we reasonably believe it has been shared, compromised, used fraudulently, or used in violation of these Terms.

4. Purchases and Payments

Course and service prices are displayed at checkout, included in a written proposal, or otherwise communicated before purchase.

By submitting an order, you authorize PLS and its payment providers to charge the selected payment method for the total amount shown, including any applicable taxes and fees.

Payments may be processed through Shopify or another third-party payment processor. PLS generally does not directly receive or store your complete payment-card information.

PLS reserves the right to:

  • Correct pricing or product-description errors
  • Reject or cancel an order affected by an obvious error
  • Limit the use of discounts or promotions
  • Refuse transactions reasonably suspected of fraud or misuse

If an order is canceled after payment because of an error or availability issue, the affected amount will be refunded.

5. Promotions, Discounts, and Bundles

Promotions, discounts, and course bundles may be subject to additional eligibility requirements, purchase minimums, redemption periods, or exclusions disclosed at the time of the offer.

Unless otherwise stated:

  • Discounts cannot be combined
  • Discounts have no cash value
  • Discounts cannot be applied retroactively
  • Bundle components cannot be exchanged or transferred
  • PLS may modify or end a promotion before purchase

Any discount or promotional offer is valid only for the period and conditions stated.

6. Course Access

Online course access is generally provided through LearnWorlds after a successful purchase or enrollment.

Access timing and duration may vary by course and will be communicated on the applicable course page, at checkout, or in the enrollment confirmation.

You are responsible for:

  • Maintaining a compatible device and internet connection
  • Using a supported web browser
  • Providing an accurate email address
  • Checking spam or junk folders for enrollment communications
  • Completing courses within any stated access period

We do not guarantee that every course will remain available indefinitely. PLS may update, replace, reorganize, or discontinue content when reasonably necessary. If a material change affects a paid course you are actively completing, we will make reasonable efforts to provide notice or an appropriate alternative.

7. Certificates and Professional Requirements

Certain courses may include a certificate or record of completion. A certificate confirms completion of the applicable PLS requirements; it does not necessarily represent a professional license, government-issued credential, or third-party certification.

Some certifications may require:

  • Identity verification
  • Completion of a separate examination
  • A minimum passing score
  • In-person participation
  • Payment of third-party fees
  • Compliance with an employer’s requirements
  • Approval by a government agency or certifying organization
  • Renewal or continuing-education requirements

You are responsible for confirming that a course or certificate satisfies the requirements of your employer, jurisdiction, licensing authority, or certifying organization before purchasing.

PLS does not guarantee that completing a course will result in employment, promotion, licensure, certification, regulatory approval, or any particular professional outcome.

8. Educational Information

PLS courses and materials are provided for educational and informational purposes. Although we work to keep content accurate and current, laws, regulations, industry standards, and certification requirements may change.

You remain responsible for:

  • Following applicable laws and regulations
  • Confirming current requirements with the appropriate authority
  • Applying appropriate professional judgment
  • Following workplace and employer procedures
  • Obtaining any required licenses, permits, or certifications

Course content is not legal, medical, tax, or other individualized professional advice.

9. In-Person Training

In-person training may be subject to a separate proposal, agreement, invoice, schedule, or written confirmation.

The customer is responsible for providing accurate information concerning:

  • Training location
  • Number of participants
  • Requested course or certification
  • Preferred dates and times
  • Facility access
  • Equipment or technology requirements
  • Any special accommodations

Scheduling is not final until confirmed by PLS. Deposits, minimum attendance requirements, travel charges, rescheduling terms, and cancellation fees will be disclosed in the applicable proposal or booking confirmation.

PLS may reschedule or cancel training because of instructor illness, unsafe conditions, severe weather, travel disruptions, insufficient enrollment, or circumstances beyond our reasonable control. In such cases, our responsibility will generally be limited to rescheduling the training, providing an appropriate alternative, or refunding the amount paid for the affected service.

10. Refunds and Cancellations

Refund eligibility is governed by the refund or cancellation terms displayed on the applicable course page, at checkout, in a written proposal, or in a separately posted Refund Policy.

Because online courses may provide immediate access to digital content, certain purchases may become nonrefundable once access has been granted, content has been viewed, materials have been downloaded, or a course has been substantially completed, except where otherwise required by law.

To request a cancellation or refund, contact PLS and provide the purchaser’s name, email address, order number, and reason for the request.

Approved refunds will generally be issued to the original payment method. Processing times may depend on the payment provider or financial institution.

11. Intellectual Property

The website, courses, videos, assessments, graphics, downloads, presentations, written materials, trademarks, logos, and other content provided by PLS are owned by or licensed to PLS and are protected by intellectual-property laws.

Subject to these Terms, PLS grants you a limited, revocable, nonexclusive, nontransferable license to access purchased course materials for your own personal or internal professional-development purposes.

You may not, without prior written permission:

  • Copy or reproduce course materials
  • Record or redistribute training
  • Share login credentials or course access
  • Publish course content online
  • Sell, sublicense, or commercially exploit materials
  • Modify or create derivative works from our content
  • Remove copyright, trademark, or ownership notices
  • Use course materials to create or train a competing product or service
  • Download content except where a download option is expressly provided

No ownership rights are transferred to you through enrollment or purchase.

12. Acceptable Use

You may not use our website or services to:

  • Violate applicable laws or regulations
  • Infringe another party’s rights
  • Upload malware or harmful code
  • Interfere with website or platform security
  • Attempt unauthorized access to accounts or systems
  • Scrape, crawl, or automatically extract content without authorization
  • Circumvent course-access controls
  • Submit false registration or payment information
  • Impersonate another person
  • Engage in fraudulent or abusive activity
  • Disrupt another user’s learning experience
  • Use course content for unauthorized commercial purposes

We may restrict or terminate access when we reasonably believe a violation has occurred.

13. Third-Party Platforms and Links

PLS uses third-party services, including Shopify and LearnWorlds, to provide ecommerce, payment, account, and course-delivery functionality.

Your use of those services may also be governed by the applicable provider’s terms and privacy policies.

We may link to websites, tools, or resources operated by third parties. PLS does not control and is not responsible for their content, availability, security, terms, or privacy practices.

14. Service Availability

We make reasonable efforts to keep our website and learning services available, but uninterrupted access is not guaranteed.

Access may occasionally be interrupted because of:

  • Maintenance or platform updates
  • Internet or hosting failures
  • Third-party service outages
  • Security incidents
  • Events beyond our reasonable control

PLS is not responsible for temporary interruptions caused by third-party systems or circumstances outside our reasonable control.

15. Disclaimer of Warranties

To the fullest extent permitted by law, the website, courses, materials, and services are provided on an “as is” and “as available” basis.

PLS disclaims all warranties not expressly stated in writing, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.

We do not warrant that:

  • The services will always be uninterrupted or error-free
  • Every course will meet a particular regulatory requirement
  • Course content will remain current indefinitely
  • Completing a course will produce a particular result
  • All errors will be corrected immediately

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

16. Limitation of Liability

To the fullest extent permitted by law, PLS and its owners, employees, instructors, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of or inability to use the services.

This includes loss of income, business opportunities, data, employment, certification, reputation, or anticipated savings.

To the fullest extent permitted by law, PLS’s total liability arising from a specific course or service will not exceed the amount you paid to PLS for that course or service during the 12 months preceding the event giving rise to the claim.

These limitations do not apply where liability cannot legally be limited or excluded.

17. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless PLS and its owners, employees, instructors, contractors, and affiliates from claims, damages, liabilities, and reasonable expenses arising from:

  • Your violation of these Terms
  • Your misuse of the website or services
  • Your infringement of another party’s rights
  • Information or materials you submit
  • Unauthorized use of your account caused by your failure to protect your credentials

18. Suspension and Termination

PLS may suspend or terminate your access if you:

  • Violate these Terms
  • Share or misuse course access
  • Engage in fraudulent or abusive conduct
  • Fail to make an authorized payment
  • Interfere with our systems or other users
  • Violate applicable law

Termination does not eliminate payment obligations or provisions that logically survive termination, including intellectual-property protections, disclaimers, liability limitations, and indemnification obligations.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any legal proceeding arising from these Terms or the services will be brought in the state or federal courts located in Duval County, and each party consents to the jurisdiction of those courts.

Before initiating formal proceedings, the parties agree to make a reasonable good-faith effort to resolve the dispute informally.

20. Changes to These Terms

PLS may update these Terms to reflect changes in our services, technology, business practices, or legal obligations.

Updated Terms will be posted on our website with a revised “Last Updated” date. Your continued use of the services after updated Terms become effective constitutes acceptance of those changes to the extent permitted by law.

21. General Provisions

These Terms, together with the Privacy Policy and any applicable course description, refund policy, proposal, or written agreement, constitute the entire agreement between you and PLS regarding the applicable services.

If any provision is found unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision does not waive our right to enforce it later.

You may not transfer your rights or obligations under these Terms without written permission from PLS. PLS may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
